This section addresses the formation, governance and transfer of shares of joint stock and limited liability companies, as well as mergers, divisions and conversions, under the Turkish Commercial Code (Law No. 6102).
Minority Shareholder Rights in a Joint Stock Company: Convocation, Agenda and Special Audit
The 10% capital threshold under TTK arts.411-412
What rights do minority shareholders have? Convocation of the general assembly, addition of items to the agenda, special audit and just-cause dissolution action.
Minority rights are statutory powers protecting the minority against the majority that cannot be removed by the articles of association. The Turkish Commercial Code (Law No. 6102) defines minority shareholders as those representing at least one-tenth of the capital in closed companies, and one-twentieth in listed companies, and grants them important powers.
Right of Convocation and to Add Items to the Agenda
Under TTK m.411, the minority's reasoned request to convene a meeting or add an agenda item must be made through a notary. If accepted, the meeting must be arranged to occur within forty-five days; otherwise the requesting shareholders may issue the call under m.411/4.
If the board refuses or gives no positive response within seven business days, the same shareholders may apply to the commercial court at the company's seat. If the court finds a meeting necessary, it appoints a trustee to prepare the agenda and convene the meeting, specifying the trustee's duties and powers (TTK m.412).
Right to Request a Special Audit
Any shareholder who has first exercised information or inspection rights may request a special audit where necessary to exercise shareholder rights (m.438). If refused, holders of one-tenth of the capital, one-twentieth in public companies, or shares with a total nominal value of at least TRY 1 million may apply to court within three months under m.439, subject to its substantive conditions.
A special audit is conducted in respect of a concrete matter connected to the exercise of voting rights. The auditor's report is delivered to the board of directors and to the requesting minority; the shareholders may request that the report be discussed at the next general assembly.
Other Minority Powers
The statutory minority may seek dissolution for just cause under m.531. Article 559 restricts settlement or release of incorporation/capital-increase liability during the four-year period and provides a minority veto thereafter. The action for company loss under m.555 belongs to every shareholder, not only a minority. A discharge cannot be revoked by another assembly resolution; annulment under m.445 remains available (m.558).
The exercise of minority rights is subject to judicial review; the courts, while preventing abuse by the majority, also require the minority to exercise its rights within the bounds of good faith.
Practical Considerations
In corporate-law matters, resolutions, meeting notices, agendas, attendance lists, signature circulars, trade-registry application documents and the articles of association must be reviewed as a whole. In corporate transactions, most disputes arise not from the substance of the resolution but from defects in notice, quorum, representation and registration.
Transactions such as share transfers, amendments to the articles of association, mergers, demergers and liquidations are not completed by internal resolutions alone; notary, trade-registry, tax and accounting dimensions are also part of the process. The legal steps and financial obligations should therefore be planned together when drawing up the transaction timetable.
From the perspective of shareholders or directors, dissenting opinions, information rights, requests for special audit and records of release and liability may carry decisive evidentiary weight in any subsequent action. Minutes of meetings should therefore be prepared in clear and auditable form.
Statutory Provisions
The Turkish version of this page provides the relevant statutory texts or selected excerpts in Turkish. For the current consolidated legislation, our primary reference is mevzuat.gov.tr ; the Official Gazette and relevant court decisions should also be consulted for amendments, commencement and annulment provisions.
Conclusion
Minority rights are the strongest legal safeguard against arbitrary acts of the majority. Effective exercise depends on making written, reasoned and timely applications and, where necessary, applying to the courts without delay.
