Enforcement and Bankruptcy Law
This section covers debt collection, attachment, composition with creditors (concordato) and bankruptcy proceedings. The articles are prepared in light of the current provisions of the Enforcement and Bankruptcy Code (No. 2004) and the settled case law of the 12th Civil Chamber of the Court of Cassation.
Enforcement Auction and Annulment of the Auction: Seven-Day Period and Grounds
Procedure, complaint and review in compulsory sale
How is an enforcement auction held, who may seek its annulment and within what period? Grounds and consequences of annulment under İİK m.134.
The realisation of attached property turns on the public-auction sales conducted by the enforcement office. While a valid auction is essential to satisfying the creditor, breaches of the procedural rules form the subject of an action for annulment of the auction. The action is pursued before the enforcement court as a special form of complaint.
Conduct of the Auction
Movables are sold by public auction under İİK m.116 et seq., immovables under İİK m.123 et seq. Before sale, the property is valued, a sale notice is issued, and notification is served on the interested parties. Under the current system, sales are conducted through the electronic auction portal.
For immovable sales, the auction price must be not less than 50 % of the appraised value, plus sale costs and any privileged claims (İİK m.129). Otherwise the auction fails and the sale lapses.
Persons Entitled to Seek Annulment
Under İİK m.134/2, annulment may be sought by the creditor requesting the sale, the debtor, persons registered in the official register of the property, holders of limited real rights, and persons who took part in the auction by bidding. Bidders who did not win likewise have standing.
Seven-Day Period and Grounds for Annulment
Annulment must be sought by complaint to the enforcement court within seven days of the auction. For grounds learnt later — such as failure to serve the sale notice — the period runs from learning of the ground, but in any event not more than one year after the auction.
Grounds include failure to serve the sale notice, irregularities in valuation, ineligibility of the buyer, collusion in the auction, and essential error. The grounds listed in TCO m.281 (annulment of sale by auction) may also be relied on.
Court Decision and Monetary Penalty
The enforcement court holds a hearing within twenty days of the application and decides whether or not the parties appear. If the application is dismissed, the court fines the applicant up to 10 % of the auction price; this sanction is designed to deter unfounded applications.
Practical Considerations
In enforcement and bankruptcy proceedings, the choice of enforcement track must be determined by the basis of the claim and the available documents. Although ordinary enforcement, commercial-paper enforcement, judgment-based enforcement, preliminary attachment, composition with creditors and bankruptcy may pursue the same outcome, they differ in time limits, available objections and costs.
Dates of service, objection or payment deadlines, attachment requests, sale-request periods and complaint deadlines are the most critical stages of the file. For this reason the dates of service of the payment order, enforcement order, attachment record, valuation report and sale notice should be tracked in a separate schedule.
For the creditor, interest calculation, the clarity of the enforcement request and the inquiry into the debtor's assets are decisive; for the debtor, grounds of objection, claims of exempt assets and the possibility of a negative declaratory action must be assessed from the outset. Otherwise, a procedural oversight may eclipse a meritorious position.

The buyer to whom the immovable has been awarded acquires ownership. Until the auction becomes final, the enforcement office determines how the property is preserved and managed; the office may also order the occupier (tenant or other) to pay rent (or a determined usage fee) into the enforcement office, applying İİK m.356 by analogy upon non-payment. Annulment of the auction — including on grounds in TCO m.281 — may be requested by complaint to the enforcement court within seven days of the auction by: the creditor requesting the sale, the debtor, persons registered in the official register, limited-real-right holders, and bidders, on condition they provide a domestic address. Requests from persons outside this list are rejected on the file and finally. Such requests by outside persons are subject to ad valorem court duty on the auction price, half payable in advance; on dismissal the duty is not refunded and the remainder is collected from the applicant. Such applicants must also lodge security of 5 % of the auction price; if no damages action is filed within one month of the dismissal becoming final, the imposed monetary penalty is collected under the Public Receivables Collection Act (No. 6183), failing which the security is returned. Where security or duty is unpaid or short-paid, the court grants a final two-week period; otherwise the application is dismissed on the file. The enforcement court holds a hearing within twenty days and decides even if the parties do not appear (rejections on procedural grounds may be decided without a hearing). Rejections on grounds (i) of application by an outside person, (ii) withdrawal by an outside person, or (iii) on the merits, entail a monetary penalty up to 10 % of the auction price (20 % for housing-finance and TOKİ-secured claims). Buyers must pay the price in cash or within the period under m.130, and the sums are held in interest-bearing bank accounts pending the final decision. The auction price is not released to creditors until the auction becomes final and the property has been delivered (or is ready for delivery); if delivery is impossible the auction is cancelled by the officer and the price refunded to the buyer. If the sale notice was not served, or essential defects in the property or fraud are learnt later, the complaint period runs from the date of learning, capped at one year from the electronic announcement of the auction. The complainant must prove that the irregularity harmed personal interests. Registration with the land registry occurs only after expiry of the complaint period or finalisation of the decision on the complaint.

Conclusion
